Terms of Service

Welcome to Skillram LLC ("Skillram," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our platform, website, mobile applications, and related services (the "Platform"), which connects clients ("Clients") with independent service providers ("Providers") in Virginia, Washington D.C., and Maryland.
By accessing or using the Platform, you agree to these Terms. If you do not agree, please do not use Skillram.
1. Overview of Our Services
Skillram provides an online marketplace where Clients can post service requests and Providers can offer their services. Skillram does not perform services but facilitates connections between Clients and independent Providers.
Skillram is not a party to any contracts or agreements formed between Clients and Providers. Providers are independent contractors, not employees or agents of Skillram.
2. Eligibility
You must be at least 18 years old to use the Platform. By using Skillram, you represent that you are of legal age and capable of entering into a binding contract.
3. User Accounts
To access certain features, you must create an account. You agree to:
- Provide accurate, complete, and updated information
- Maintain the security of your login credentials
- Be responsible for all activities under your account
Skillram may suspend or terminate your account if you violate these Terms.
4. Payments and Fees
A. Client Payments
- Clients agree to pay the fees for services requested through the Platform.
- Payments are processed securely through third-party payment processors.
- Skillram may charge a platform fee for facilitating the connection.
B. Provider Payments
- Providers set their rates and agree to Skillram’s commission or service fee.
- Skillram releases payments to Providers after service completion, subject to processing times.
C. Refunds and Disputes
- Refunds are handled case-by-case. Contact support@skillram.com to initiate a dispute.
- Skillram is not liable for the outcome of disputes but may mediate at its discretion.
5. User Responsibilities
By using Skillram, you agree to:
- Use the Platform lawfully and respectfully
- Not post false, misleading, or offensive content
- Not attempt to bypass the Platform to avoid fees ("platform circumvention")
- Not engage in harassment, discrimination, or illegal activity
- Comply with all applicable laws and regulations in Virginia, D.C., and Maryland
6. Provider Verification & Background Checks
Skillram may perform limited verification or background checks but does not guarantee the quality, legality, or safety of services. Clients are responsible for performing their own due diligence before hiring a Provider.
7. Reviews and Ratings
Clients may leave reviews and ratings for Providers. By posting a review, you:
- Grant Skillram a non-exclusive, royalty-free license to use your content
- Agree not to post defamatory or false statements Skillram may remove content that violates these Terms.
8. Intellectual Property
Skillram owns all rights, titles, and interests in the Platform, including logos, trademarks, content, and software. You may not copy, modify, or distribute Skillram content without written permission.
9. Disclaimers
- Skillram does not guarantee the quality or outcome of any services.
- All services are performed by independent Providers.
- Use of the Platform is at your own risk.
10. Limitation of Liability
To the fullest extent permitted by law:
- Skillram is not liable for any indirect, incidental, or consequential damages
- Skillram's total liability for any claim related to these Terms or the Platform will not exceed $100 or the total amount paid by you to Skillram in the last 12 months, whichever is greater
11. Indemnification
You agree to indemnify, defend, and hold harmless Skillram, its owners, and employees from any claims, liabilities, damages, or expenses arising out of:
- Your use of the Platform
- Your violation of these Terms
- Your interaction or disputes with other users
12. Termination
Skillram may suspend or terminate your account for any reason, including violations of these Terms. Upon termination, your right to use the Platform ceases immediately.
13. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any legal action must be filed in a court of competent jurisdiction located in Virginia.

We may update these Terms occasionally. Continued use of the Platform after changes constitutes your acceptance of the new Terms. We will notify users of significant changes.

Cancellation Policy
At Skillram LLC, we understand that plans may change. However, to respect the time and commitment of our Service Providers, the following cancellation policy applies:
Client Cancellations Within 24 Hours of Scheduled Job Start Time:
For Hourly Rate Jobs:
If a Client cancels a job within 24 hours of the scheduled start time, the Client will be charged one (1) hour at the agreed-upon hourly rate.
For Fixed Rate Jobs:
If a Client cancels a fixed-rate job within 24 hours of the scheduled start time, the Client will be charged 50% of the total agreed-upon fixed rate.
How Charges Are Processed:
Cancellation fees will be automatically charged to the payment method on file. This fee compensates the Provider for reserved time and lost opportunities.
Exceptions:
Skillram may waive cancellation fees in cases of emergencies or unforeseen circumstances at our sole discretion. Clients must contact support@skillram.com as soon as possible to request a review.
Provider Cancellations
At Skillram LLC, we value reliability and professionalism. Providers are expected to honor all accepted job commitments. Unjustified cancellations negatively impact Clients and the integrity of our platform.
Unjustified Cancellations:
If a Provider cancels a job without a valid or appropriate reason, especially within 24 hours of the scheduled start time, the following applies:
- The cancellation will be recorded on the Provider's account.
- Repeated unjustified cancellations may result in disciplinary action.
Cancellation Limit:
Providers who accumulate 5 unjustified cancellations within a 30-day period will be subject to:
- Temporary suspension of their account, or
- Permanent removal from the Skillram platform, at Skillram’s sole discretion.
Examples of Acceptable Reasons for Cancellation:
- Personal emergencies
- Verified illness or injury
- Unsafe or hazardous conditions at the job site
- Circumstances beyond the Provider’s control
Providers must notify Skillram Support immediately at support@skillram.com if a cancellation is necessary and provide documentation if requested.
